If you do not agree, you must not use the Platform.

These Terms apply to:

  • Account holders
  • Event organisers
  • Contributors (guests uploading content)
  • Visitors accessing shared pages

2. Incorporation of Terms

You confirm that:

  • You have had the opportunity to read these Terms before using the Platform
  • Your continued use of the Platform constitutes acceptance
  • Updates to these Terms will be communicated where required, and continued use after updates constitutes acceptance

3. Description of Service

Flashback Memories provides a QR‑enabled digital hosting platform that allows users to:

  • Create digital memory pages
  • Generate unique QR codes
  • Upload, store, organise, and display media
  • Enable third‑party contributions
  • Control privacy settings

We provide hosting and technical infrastructure only. We are not a publisher of user content and do not actively monitor uploaded material.

4. User Responsibility

You are solely responsible for:

  • All content uploaded to your account or event page
  • Ensuring you have the legal right to upload content
  • Obtaining consent from individuals featured in media
  • Moderating guest contributions where enabled

If your page allows public uploads, you assume full responsibility for all contributed content.

We may remove content that violates these Terms or applicable law, but we are not obligated to do so.

5. Acceptable Use Policy

You agree not to use the Platform to:

  • Harass, abuse, or harm others
  • Impersonate individuals
  • Upload spam, misleading content, or harmful misinformation
  • Upload deepfakes or manipulated media intended to deceive
  • Circumvent security features

6. Prohibited Content

You must not upload or distribute content that:

  • Is illegal under UK or applicable law
  • Infringes copyright, trademark, or privacy rights
  • Contains hate speech, threats, or harassment
  • Is sexually explicit or exploitative
  • Contains malware or harmful code

We may suspend or terminate accounts for violations without notice.

7. Account Security

You are responsible for safeguarding your login credentials.

We are not liable for loss or damage arising from:

  • Weak passwords
  • Account sharing 
  • Misuse of QR Codes
  • Failure to revoke access to shared QR codes

8. Content Ownership & Licence

You retain ownership of all content you upload.

By uploading content, you grant us a limited, non‑exclusive licence to:

  • Store
  • Process
  • Host
  • Display
  • Transmit

This licence exists solely to operate the Platform. We do not claim ownership of your content.

9. Copyright Takedown Procedure

If you believe content infringes your rights, you may submit a takedown request to:

Your request must include:

  • Identification of the infringing content
  • Proof of ownership
  • Your contact details

We may remove content at our discretion.

10. Data Protection & UK GDPR

We process personal data in accordance with UK GDPR.

Our Privacy Policy explains:

  • How it is used
  • How it is stored
  • Your rights

By using the Platform, you consent to our data practices.

11. Data Storage & Backups

While we implement reasonable safeguards, you acknowledge that:

  • Digital systems are not infallible
  • We do not guarantee uninterrupted availability
  • We do not guarantee against accidental deletion or corruption
  • You are responsible for maintaining your own backups

We are not liable for data loss except where required by law.

12. Subscription and Payments

Subscriptions are billed monthly or annually.

By purchasing a plan, you authorise recurring billing until cancellation.

Immediate Access & Waiver of Cooling‑Off Rights

Because Flashback Memories provides instant access to digital services, you:

  • Request immediate access
  • Acknowledge that digital content is supplied instantly
  • Waive your 14‑day cooling‑off right under the Consumer Contracts Regulations 2013

All fees are non‑refundable, except where required by law.

Cancellation

You may cancel at any time. Cancellation stops future billing but does not entitle you to refunds for unused time.

Non‑Payment

Failure to pay may result in suspension or deletion of content after reasonable notice.

12.1 Payments, One Off Purchases & Subscriptions

Flashback Memories offers both one‑off digital products and subscription‑based services. By completing a purchase, you agree to the pricing displayed at checkout and authorise us to process your payment through our secure payment provider.

12.2 One Off Purchases (Non Recurring)

Some products are sold as a single, non‑recurring purchase, including but not limited to:

  • One‑time digital memory pages
  • QR code products
  • Event‑specific pages
  • Limited‑duration hosting
  • Add‑on features or upgrades

These products are delivered immediately upon payment.

Cooling‑Off Waiver for One‑Off Digital Products

Because one‑off digital products are made available instantly, you:

  • Request immediate access
  • Acknowledge that the digital product is delivered immediately
  • Waive your 14‑day cooling‑off right under the Consumer Contracts Regulations 2013

All one‑off digital purchases are non‑refundable, except where required by law.

12.3 Subscription Plans (Recurring Payments)

Some services are offered on a monthly or annual subscription basis, including:

  • Long‑term hosting
  • Ongoing storage
  • Premium features
  • Extended access to digital content

By purchasing a subscription, you authorise recurring billing until cancellation.

Cooling‑Off Waiver for Subscriptions

Because subscription features are available immediately, you:

  • Request immediate access
  • Acknowledge that the service begins instantly
  • Waive your 14‑day cooling‑off right

Subscription fees are non‑refundable, except where required by law.

12.4 Cancellation of Subscriptions

You may cancel your subscription at any time. Cancellation:

  • Stops future billing
  • Does not entitle you to a refund for the current billing period
  • May result in loss of access to stored content if the plan is required for hosting or storage

We may provide a grace period at our discretion.

12.5 Non Payment

If payment fails or is not completed:

  • Access to features may be restricted
  • Content may be archived or removed after reasonable notice
  • QR codes may stop functioning if tied to a subscription plan

12.6 Price Changes

We may update pricing from time to time. You will be notified in advance of any changes to subscription fees.

13. Storage Limits & Retention

Depending on your plan, storage limits may apply.

We reserve the right to:

  • Implement storage caps
  • Archive inactive pages
  • Remove content after prolonged non‑payment
  • Modify retention periods with reasonable notice

14. Intellectual Property

All Platform software, design, branding, and proprietary systems remain our exclusive property.

You may not:

  • Reverse engineer
  • Copy
  • Replicate
  • Commercially exploit

Any part of the Platform without written consent.

15. Limitation of Liability

To the maximum extent permitted by law, Flashback Memories is not liable for:

  • Indirect or consequential losses
  • Loss of profits or business
  • Emotional distress
  • Data loss
  • Unauthorised access caused by user negligence
  • Guest misuse of QR codes

Our total liability shall not exceed the fees paid by you in the preceding 12 months.

Nothing excludes liability for death, personal injury, fraud, or other non‑excludable matters.

16. Indemnification

You agree to indemnify and hold harmless Flashback Memories from claims, damages, or legal fees arising from:

  • Content you upload
  • Copyright infringement
  • Privacy violations
  • Guest‑uploaded material
  • Misuse of the Platform

17. International Use Disclaimer

You are responsible for ensuring compliance with local laws when accessing the Platform outside the UK.

18. Force Majeure

We are not liable for delays or failures caused by events beyond our control, including:

  • Internet outages
  • Hosting provider failures
  • Natural disasters
  • Cyberattacks
  • Government restrictions

19. Termination

We may suspend or terminate accounts where:

  • These Terms are breached
  • Payment is overdue
  • Illegal or harmful content is uploaded
  • Platform security is compromised

Upon termination, access to content may be revoked.

20. Modifications to Service

We may update features, modify functionality, change pricing, or discontinue services with reasonable notice where required.

21. Entire Agreement

These Terms constitute the entire agreement between you and Flashback Memories.

22. Severability

If any clause is found unenforceable, the remaining clauses remain in effect.

23. No Waiver

Failure to enforce any clause does not constitute a waiver of rights.

24. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

Fair Usage Policy

At Flashback Memories, we aim to provide a simple and generous storage experience for preserving personal memories, family archives, memorials, and event galleries.

Our plans are designed to support typical personal and family use. To ensure a reliable service for all customers, the following Fair Usage Policy applies.

Intended Use

Flashback Memories is intended for the storage, sharing, and preservation of:

  • Personal photographs
  • Family videos
  • Audio recordings
  • Memorial content
  • Event media
  • Personal documents and keepsakes

Unlimited Uploads

Where a plan includes "Unlimited Uploads", this refers to the number of files that may be uploaded and shared through the platform.

Unlimited Uploads does not mean unlimited storage capacity or unrestricted commercial use.

Fair Usage Guidelines

Our plans are designed to accommodate typical customer usage. Excessive usage may include:

  • Storage volumes significantly exceeding normal personal or family requirements
  • Use as a commercial media archive
  • Use as a public file hosting service
  • Automated bulk uploads
  • Storage of unrelated business data
  • Activities that negatively affect platform performance for other users

Storage Management

Where a customer's storage requirements significantly exceed normal usage patterns, Flashback Memories reserves the right to:

  • Contact the customer to discuss their usage
  • Recommend a higher-tier plan
  • Apply reasonable storage limits
  • Offer additional storage options
  • Restrict uploads that materially impact service performance

No Automatic Deletion

Flashback Memories will never automatically delete customer memories solely because a Fair Usage threshold has been reached.

Customers will always be notified and provided with options before any restrictions are applied.

Our Commitment

Our goal is to support genuine memory preservation. This policy exists to prevent abuse of the platform while ensuring a reliable service for all users.

 

Privacy

Your use of Flashback Memories is also governed by our Privacy Policy. We take data protection seriously and comply with UK GDPR and applicable data protection law.

Changes to Terms

We may update these Terms at any time. Continued use of the service after changes constitutes acceptance. Material changes will be notified by email.
